Terms of Service

Liability Limitation: The obligation of Flowers Valley LLC to perform its duties is exempted in the event of force majeure, which includes but is not limited to: acts of terrorism, riots, strikes, epidemics, natural disasters, or any other lawful circumstances beyond the control of Flowers Valley LLC. Flowers Valley LLC shall not be held liable for any damages to persons or property caused by delays or non-performance due to events beyond its control. Such events include, but are not limited to: strikes or other labor disputes, earthquakes, fires, weather conditions, floods, acts of terrorism, wars, civil disturbances, road closures, traffic accidents, power or utility outages, demands or actions of federal, state, or local governmental authorities. The client agrees to indemnify Flowers Valley LLC for all losses, defend it, compensate it, and hold it harmless from any third-party claims or liabilities arising from any negligence or intentional acts on the part of the client and its guests during the event and in the performance of this contract.

Image Usage Rights: Flowers Valley LLC reserves the right to use any photographs and/or video footage from the client's event for promotional purposes, in advertising materials, and media publications. Appropriate copyright information will be added to or listed under photographs and video footage taken by other vendors. By signing this agreement, the client consents to such image usage.

Payment: A minimum non-refundable down payment of 20% of the order amount is required upon contract signing. This down payment signifies readiness to proceed and reserves the date of collaboration with our company. The final payment must be made no later than three weeks prior to the event. All additional services must be paid in advance before the delivery of flowers or decorations by a separate check at the time of ordering.

The client may make online payments and will be provided with a payment link.

Receipt of the final payment must be fully settled before delivery. Any payment received and accepted within 7 business days before the event must be provided in the form of a cashier's check or bank transfer (unless otherwise agreed upon in writing). Transfer fees may apply.

Third-Party and Damage Liability: The client agrees that Flowers Valley LLC and its employees, including subcontractors, are not to be held responsible for any services, subcontractors, or vendors not specifically provided by Flowers Valley LLC. Flowers Valley LLC is not responsible for damage incurred after installation during the event. During the event, the client is also liable for any theft of or damage to rented Flowers Valley LLC property, as well as any personal injury caused by inappropriate conduct, vase breakage, or other causes.

The price under an unsigned contract is valid for fifteen days from the date of the offer. All designs (proposed or final) mentioned in this offer are copyrighted and the exclusive property of Flowers Valley LLC.

Acceptance: I ACCEPT THE TERMS OF THIS OFFER, AS INDICATED, AND UNDERSTAND THAT ANY SIGNIFICANT CHANGES IN DESIGN AND/OR MATERIALS OR REQUESTS FOR ADDITIONAL DETAILS WILL REQUIRE AMENDMENTS TO THIS DOCUMENT, POSSIBLY INVOLVING ADDITIONAL PAYMENTS. I ACKNOWLEDGE THAT THIS OFFER IS VALID FOR THIRTY (30) DAYS FROM THE DATE OF ISSUE, AFTER WHICH THE PRICE MAY CHANGE IF A FORMAL CONTRACT HAS NOT BEEN EXECUTED.

Licensing and Insurance: Flowers Valley LLC is licensed and insured. Proof of insurance and licensing is available upon request no later than five business days before the event.

A request to include any other client-selected vendor as an "additional insured" on the liability policy of Flowers Valley LLC will incur a fee of $100 per required insured vendor. Requests must be submitted in writing by the client no later than five business days before the event.
